Compliance Challenge

The European SOX regulation (also known as “Euro-SOX”, “EuroSOX”, “European Sarbanes-Oxley”, “ESOX”, “Directive 2006/43/EC”, “E-SOX”, “The European Union’s 8th Company Law Directive on Statutory Audit”) was introduced 2006 by the The European Parliament and the Council of the European Union, and has been continually maintained and updated to reflect the dynamic changes in business environment. The European SOX regulation is aimed at protecting shareholders and the general public from accounting errors and fraudulent practices in the enterprise. Euro-SOX applies to all European and non-European companies listed in any country of the European Economic Area (EEA). (The legislation came into force in 2008 for the member states of the EEA and in 2010 for the United States and many non-EU companies listed in Europe).

To achieve its goals, E-SOX requires changes to the audit committee and to the role of the board of directors, and dictates new internal controls requirements. More specifically, E-SOX includes the following requirements:

  1. A collective responsibility of board members for financial statements and key non-financial information
  2. An increased transparency of transactions with related parties
  3. Full information provision regarding off-balance-sheet arrangements, including qualified special-purpose vehicles (QSPE)
  4. An annual corporate governance statement

Ensuring compliance with the Euro-SOX regulation is an important organizational task, which requires ongoing management of compliance data. The compliance process is continuous and needs to be repeated periodically and closely monitored. Managing officers are personally responsible to maintain the Euro-SOX compliance, and this responsibility requires significant management attention and allocation of time and effort. Beyond self assessments or assessments of compensated third parties (such as accounting auditors or regulation consultants), the organization may also confront other external audits that show little if any tolerance to deficiencies.
